These Terms of Service ("Terms") govern the use of the distribution services provided by RS21 Concepts, a company incorporated in the UK with company number 13675316. By using the Services, you agree to be bound by these Terms.
Definition In these Terms, the following definitions shall apply:

"Services" means the distribution services provided by the Company, including, but not limited to, the delivery of goods from suppliers to customers;

"Supplier" means the person or entity supplying the goods to be delivered through the Services;

"Customer" means the person or entity purchasing the goods delivered through the Services.

Provision of Services The Company agrees to provide the Services to the Supplier in accordance with these Terms and the agreement between the Supplier and the Company. The Company will use reasonable care and skill in the performance of the Services.

Delivery The Company will deliver the goods to the Customer as specified in the agreement between the Supplier and the Company. The Company will use reasonable endeavors to deliver the goods within the agreed timeframe, but does not guarantee delivery by a specified date.

Payment The Supplier will pay the Company's fees for the Services in accordance with the agreement between the Supplier and the Company.

Liability The Company shall not be liable for any indirect or consequential loss or damage, including, but not limited to, loss of profits, loss of business or loss of reputation, arising from the provision of the Services.

Termination Either party may terminate the agreement between the Supplier and the Company and these Terms immediately by giving written notice to the other party if the other party breaches any material term of the agreement or these Terms.

Governing Law These Terms shall be governed by and construed in accordance with the laws of the UK.

Changes to these Terms The Company reserves the right to change these Terms at any time by giving written notice to the Supplier.

Entire Agreement These Terms, together with the agreement between the Supplier and the Company, constitute the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the provision of the Services.
